Introduction and Acceptance of Terms
Welcome to Fight.Directory (“Fight Directory,” “we,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of the Fight Directory website and services (collectively, the “Service” or “Site”), including any content, functionality, and features offered on or through Fight.Directory. By accessing or using Fight Directory, you agree to be bound by these Terms & Conditions, as well as our Privacy Policy (which describes how we handle your personal data). If you do not agree with any part of these Terms or our Privacy Policy, you must not use our Site or services.
These Terms apply to all users of Fight Directory, including unregistered visitors browsing the Site, registered individual users, and gym or business owners who claim or manage listings on the platform. Additional terms may apply if we introduce new features (such as premium services or promotional programs), and we will make those clear where applicable.
Please read these Terms carefully before using Fight Directory. We aim to present them in clear language for ease of understanding, but if you have any questions, feel free to contact us at [email protected]. By using the Site, you acknowledge that you are at least 13 years old (more on user eligibility below) and that you have the legal capacity to enter into this agreement.
Description of Service
Fight Directory is an online directory and community platform focused on gyms, academies, and businesses in the combat sports and martial arts space. Our Service allows users to discover and learn about martial arts gyms (like MMA gyms, boxing clubs, BJJ academies, Muay Thai schools, etc.), view details such as location and services offered, and connect with those gyms. Key features of the Site include:
Browsing and Searching Listings: Visitors and users can search for combat sports gyms and related businesses by location, martial art style, training offerings, and other criteria. We provide information on each gym’s listing page (e.g., address, contact info, class types, instructors, photos, and user reviews if available) to help you find the right training facility.
User Accounts: Individuals can create a free account to save favorite gyms, track their training experiences, and engage with the community (such as leaving reviews or comments). Creating an account unlocks additional features like bookmarking listings, receiving updates or newsletters (optional), and interacting with gym owners through the platform.
Gym Owner Accounts: Gym or business owners (or authorized representatives) can sign up to claim or create their gym’s listing on Fight Directory. As a listing owner, you can manage your gym’s profile by adding or updating details, uploading images/videos, responding to user reviews, and improving your gym’s visibility to potential students.
Interactive Features: The Site may include features like interactive maps to find nearby gyms, a blog or news section with relevant articles, event listings (e.g., upcoming tournaments or seminars), and possibly forums or community Q&A in the future. We strive to provide a comprehensive resource for martial artists and gym owners alike to connect and share information.
(Future Features) Premium Listings / Advertising: At present, Fight Directory’s core services are free for both users and gym owners; we do not charge fees for standard listings or usage of the basic directory. However, we reserve the right to introduce monetization in the future. This could include premium listing services (for example, gym owners paying for enhanced visibility or featured spots in search results) or advertising placements (such as sponsored content or third-party ads displayed on the Site). If and when such features are implemented, they may be subject to additional terms or guidelines (including payment terms), which we will communicate clearly to those who choose to participate. Even if we introduce paid options, the general use of the directory will likely remain free for standard users.
Fight Directory is continuously evolving. We may add, change, or remove features and services to improve the user experience or adapt to the needs of our community. We will do our best to update our users about major changes (for example, via site announcements or emails to registered users). All new features are subject to these Terms, and by using them you agree to any additional guidelines or rules we provide.
Important: Fight Directory is an information platform; we do not own or operate the gyms listed on our site. While we strive to keep information up-to-date and verify details when possible, the responsibility for each gym’s listing content lies with the respective gym owner or contributor. Fight Directory does not certify or endorse the quality of any gym, instructor, or training program listed. We are not a party to any agreements you make with gyms (such as memberships, class bookings, or purchases of services). See the “No Endorsement & Your Interactions with Gyms” and “Disclaimer of Warranties” sections below for more details on these points.
User Accounts and Eligibility
Account Registration: To access certain features of Fight Directory (such as saving favorites, posting reviews, or managing a gym listing), you will need to create an account. During registration, you must provide accurate and complete information. This may include choosing a username, providing a valid email address, and any other information requested in the sign-up form. You agree to keep your account information up to date. For example, if you change your email address, you should update it in your account settings so we can reach you with important notices.
Account Security: You are responsible for maintaining the confidentiality of your account login credentials (username and password). Do not share your password with anyone. You agree to accept responsibility for all activities that occur under your account. If you suspect that someone has gained unauthorized access to your account or discovered your password, you must notify us immediately at [email protected]. We recommend using a strong and unique password for your Fight Directory account to reduce the risk of unauthorized access. We also encourage enabling any additional security features we might offer (such as two-factor authentication, if available).
Age Requirements: Fight Directory is intended for users who are at least 13 years old. By creating an account, you affirm that you are 13 years of age or older. If you are under the age of majority in your jurisdiction (for example, under 18 in many places), you affirm that you have obtained permission from a parent or legal guardian to use the Site and that your parent or guardian has reviewed and agreed to these Terms on your behalf. We do not knowingly allow children under 13 to create accounts or submit personal information; if we discover an account that appears to be operated by a child under 13, we will take steps to suspend or remove that account (see our Privacy Policy for more on children’s privacy).
Accuracy of Information: Whether you are a general user or a gym owner, you agree that any information you provide to Fight Directory, whether during account creation or later, will be true, accurate, and not misleading. This includes any personal details in your profile as well as content you contribute (such as gym listing details or reviews). You also agree not to create an account under false pretenses (for example, not to impersonate another person or create a fake identity). Using someone else’s personal information to create an account is strictly prohibited. Each person should generally maintain only one account unless we explicitly allow or require multiple (e.g., if a gym owner wants a separate account for personal use vs. business use; if so, those should still be properly identified and not misused).
Account Responsibility: You are responsible for all activities conducted through your account. This means if someone else uses your account (with or without your permission) to do something that violates these Terms or is illegal, you could be held accountable. We strongly urge you not to share your account with others. If you are a gym owner and want multiple people from your business to help manage your listing, they should each have their own account or authorized access rather than sharing logins. Contact us if you need a better solution for multi-user management of a listing.
Profile Settings and Communication Preferences: In your account settings, you may have options to customize your profile (such as adding a profile photo, bio, or other personal info) and to set your communication preferences. For instance, you might be able to opt in or out of certain types of emails (like newsletters or notifications) or adjust privacy settings for your profile. You agree to configure these settings according to your preferences and understand that certain information (like your username and any content you post) may be public by default. It is your responsibility to manage what you share publicly on your profile.
We reserve the right to refuse registration, suspend, or terminate accounts at our discretion (for example, if you violate these Terms or if we suspect fraudulent activity). See the “Termination” section below for more details.
User Content and Listings
Fight Directory allows users to contribute content in various forms, including but not limited to gym listing information, reviews, ratings, comments, photos, and profile information. Whether you are posting as a gym owner or as an individual user, the content you provide is considered “User Content.” This section outlines the rules and rights regarding user-contributed content.
Ownership of Your Content: You (or your organization) retain ownership of any original content that you post on Fight Directory. For example, if you write a gym description, upload photos that you took, or write a review in your own words, those remain your intellectual property. We do not claim ownership over the content you submit to our platform. However, by submitting content, you give us permission to use it as described below.
License to Fight Directory: When you post, submit, or otherwise share User Content on our Site, you grant Fight Directory a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sub-licensable license to use, reproduce, modify (for formatting or technical purposes, not to change the essence of your content), display, distribute, and create derivative works of your content solely in connection with providing, operating, and promoting the Service. This means, for example, we have your permission to display your review on the gym’s listing page, to include your gym’s photos in search results or marketing materials showcasing our platform, or to make backups and copies of content on our servers. We will never try to sell your individual content to others or use it outside of our service’s context without further consent from you. This license ends when you remove or delete your content from the Site, except to the extent that we have already relied on your content for promotional material or other uses, or if the content remains in our archived backups (which will be removed in the normal course of backup rotation), or if the content has been shared by others (for example, if another user shared your review or it was publicly visible, it may still exist in their cache or external search indexes).
Your Responsibilities and Warranties for Content: By contributing any content, you promise that: (a) you own or have obtained all necessary rights, licenses, or permissions to post the content on Fight Directory and to grant us the above license; (b) your content is accurate (to the best of your knowledge, especially for factual information like a gym’s address or schedule), not confidential, and not in violation of any laws or regulations; and (c) your content does not infringe or misappropriate the intellectual property rights, privacy rights, publicity rights, or any other legal rights of any other person or entity. For example, if you upload a photo, you must have taken the photo yourself or have permission from the photographer; if you post a logo, you should be the owner or have rights to use it; if you quote someone else’s article, you should have permission or it should be a lawful fair use. You also agree not to post any personal information about another person (for example, someone’s full name, phone number, or address) without their consent.
Prohibited Content: You agree not to post any content that:
Is false or misleading in any way. (This includes making false claims about a gym, posting a review for a gym you have not attended, or lying about your identity or affiliation.)
Is defamatory, derogatory, or harmful toward others. (This includes content that insults or attacks a person or business in an unfair or malicious way. Honest negative reviews are allowed, but personal threats or irrelevant attacks are not.)
Contains profanity, obscenities, or vulgar language (to an extreme extent beyond casual language), or is pornographic or sexually explicit.
Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group. Hate speech or any form of harassment is strictly forbidden.
Is violent or threatening, or promotes violence or illegal activities.
Contains viruses, malware, or any code intended to disrupt or damage software, hardware, or communications equipment.
Violates any applicable law or regulation, or encourages conduct that would be a criminal offense or give rise to civil liability.
Consists of unsolicited advertising or spam. (For example, posting the same comment repeatedly, or advertising a product or service unrelated to the gym listings. Gym owners can promote their own gym in their listing, but general users should not post ads or promotional links in reviews.)
Is irrelevant or off-topic for the purpose of the platform. (This means, for instance, don’t post about political or religious opinions in a gym review unless it somehow directly relates to your experience with that gym.)
Attempts to impersonate another person or organization, or falsely states or misrepresents your affiliation with someone or something.
Fight Directory reserves the right (but not the obligation) to remove or edit any user content that we determine, in our sole discretion, violates these guidelines or is otherwise objectionable. We also reserve the right to disable or terminate the accounts of users who repeatedly violate content standards (see “Termination” below). However, we do not pre-screen all content, and we are not responsible for user contributions. You bear all risk associated with your content, including anyone’s reliance on its accuracy or any legal risks. If you see content on Fight Directory that you believe violates these Terms or your rights, you can report it to us at [email protected]. We will review reports and take action as we deem appropriate.
Editing and Moderation: We may, at our discretion, edit or moderate user-submitted content for clarity or to fit within the design of our Site (for example, we might truncate a description in a preview with a “Read more” link, or correct obvious typos). We will not, however, substantively alter the meaning of user reviews or statements. In some cases, we might reach out to a user or gym owner for clarification if needed. We also might refuse to publish or remove content that is duplicative or not useful (like a review that just says “test” or “asdf”).
Use of Content: Keep in mind that content you post is public (except where explicitly stated otherwise). For example, gym listings and reviews are visible to all site visitors. Do not include personal information in your public posts that you do not wish to be publicly accessible. Fight Directory is not responsible for how other users might use or share your public content (for instance, someone could screenshot your review and share it on social media). Please post responsibly knowing that the content could be widely viewed.
Feedback: If you provide us with any suggestions, ideas, or feedback about the Fight Directory platform (for example, ideas for new features or improvements), you agree that we may use and implement that feedback without restriction or compensation to you. You hereby grant us a perpetual, irrevocable, royalty-free license to use the feedback you provide in any manner.
Acceptable Use Policy
We want Fight Directory to be a safe, fair, and useful resource for everyone. By using the Site, you agree to the following rules of conduct and acceptable use. These apply to all interactions on Fight Directory (including but not limited to content posts, messages, and usage of the site features):
Lawful Use: You will use Fight Directory only for lawful purposes. You will comply with all applicable laws and regulations (local, state, national, and international) when accessing or using the Site. You will not use the Service to promote or facilitate illegal activities of any kind.
No Harmful Interference: You must not interfere with or disrupt the operation of Fight Directory. This includes not attempting to disrupt the normal flow of dialogue or otherwise act in a manner that negatively affects other users’ ability to use the Site. Specifically, you agree not to:
Attempt to bypass or breach any security or authentication measures of the Site, or test the vulnerability of our systems (no hacking, scanning, or penetration testing of our infrastructure without authorization).
Introduce any viruses, worms, malware, Trojan horses, or any other harmful or disruptive code or programs.
Undertake any action that imposes an unreasonable or disproportionately large load on our server infrastructure (for example, sending excessive requests or using bots/scrapers in a manner that overwhelms our service).
Use any automated means (such as scripts, scrapers, or robots) to collect data or content from Fight Directory, unless you have express permission from us (note: search engines indexing our site is generally permitted under our robots.txt, but scraping for unwanted purposes is not).
Engage in denial-of-service attacks or any activities that could disable, damage, or impair the Site’s functionality.
No Unauthorized Access: You will not attempt to gain unauthorized access to any portion of the Site, other users’ accounts, or any systems or networks connected to Fight Directory, by hacking, password “mining” or any other illegitimate means. Only access areas of the Site that are intended for user access. Private or admin areas are strictly off-limits to unauthorized users.
Personal Data and Privacy: If you happen to gain access to other users’ personal information (for example, if you are a gym owner who receives a user’s contact info through a message, or if you somehow see data that wasn’t intended to be public), you agree that you will use that information solely for the purpose for which it was provided (e.g., communicating with that user regarding their inquiry) and not for any other purpose without the user’s consent. You also agree not to harvest or collect information about other users (including email addresses or phone numbers) for the purpose of sending unsolicited communications (spam) or for any unauthorized purpose. Our Privacy Policy governs how you and we must handle personal data – please adhere to it.
No Impersonation or Misrepresentation: Do not impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity. For example, do not pretend to be an administrator of Fight Directory if you are not, and do not create an account name that implies you’re someone you’re not (like using a famous fighter’s name or a competitor’s name in a misleading way). Gym owners should only claim listings for gyms they actually own or are authorized to represent.
Respect Others: Treat other members of the community with respect. This means no harassment, bullying, or hate speech as mentioned earlier. If discussion features exist (like commenting on posts or forums), engage in constructive dialogue. You can disagree with others, but do so politely. Do not stalk or single out users for personal attacks. If someone asks you to stop contacting them, respect their request.
No Data Mining or Commercial Use Without Permission: Fight Directory is provided for the personal use of individuals and for businesses to list their own services. Apart from standard use by gym owners for their listings, you may not use the Site for commercial purposes in a way that violates these Terms. For instance, you cannot scrape our listings to create your own database or directory, and you cannot use our messaging systems to send unsolicited promotional messages about a product or service. You cannot resell, redistribute, or derive commercial benefit from our content or user base without our explicit permission. If you are interested in a partnership or data access, contact us separately to discuss.
Follow Additional Rules: Certain features of Fight Directory might come with their own specific rules or guidelines. For example, if we run a contest or promotion, we might have official rules for it. If we launch a forum, we might have community guidelines. By participating in those features, you agree to comply with any such additional rules, which are incorporated into these Terms by reference. If you encounter any confusion between additional rules and these Terms, the specific rules for that feature will govern for matters related to that feature, but everything else in these Terms still applies.
Violation of the above Acceptable Use Policy may result in immediate suspension or termination of your account and/or access to Fight Directory (see “Termination” section), and could also expose you to civil or criminal penalties. We reserve the right to take appropriate legal action for illegal or unauthorized use of the Service.
Fees and Payments (Future Paid Services)
Free Service (Current): As of the effective date of these Terms, Fight Directory is provided to users and gym owners free of charge. Creating an account, listing a gym, browsing the directory, and using current features do not require any payment. There are no subscription fees or listing fees at this time, and we do not process any payments through our Site.
Planned Future Services: We want to be transparent that we may introduce paid features or services in the future to support and grow Fight Directory. This could include, for example:
Premium Listings or Subscriptions for Gym Owners: An optional paid plan where gym owners pay a fee for enhanced visibility (such as featuring their gym at the top of search results, highlighting their listing, or unlocking additional promotional tools).
Advertising or Sponsorship Opportunities: Gyms, equipment brands, or other partners might be able to purchase ad space or sponsored placements on the Site (clearly labeled as “Sponsored” or “Ad”).
Events or Ticketing Services: If we list events (like tournaments, seminars, or workshops), we might offer ticket sales or promotional packages for event organizers, which could involve payment processing.
Merchandise or Affiliate Sales: We might sell Fight Directory merchandise or receive commissions for recommending gear (this is hypothetical for now; any such commerce would be clearly indicated).
If and when any paid services are introduced, we will update these Terms and provide specific details such as pricing, billing cycles, refund policies, and any additional terms that apply to those services. Before you are charged for anything, we will make sure you understand the fees and have agreed to them.
Payments and Billing: In the event you choose to partake in a paid service:
Payments will likely be processed through a third-party payment processor (for example, Stripe, PayPal, or similar), which will handle your credit card or payment information securely. We will not store your full payment card details on our own servers, though we may keep records of transactions (e.g., to know that you paid and for what service).
You agree to pay any applicable fees for the services you purchase, including any recurring charges for subscription services if those are offered. All fees will be clearly disclosed at the time of purchase. For example, if we offer a monthly premium listing, we will tell you the monthly price and billing terms.
Billing Information: You must provide current, complete, and accurate billing information (such as your name, billing address, credit card number, expiration date) for us or our payment processor to charge fees. You must promptly update all billing information to keep your account current, complete, and accurate (e.g., if your credit card expires or billing address changes).
Taxes: If any taxes (such as sales tax or VAT) apply to your purchase, we will either include them in the price or list them separately. You are responsible for paying any such taxes. We will comply with tax laws and will collect and remit taxes as required.
Refunds: Our refund policy (if any) for future paid services will be specified when those services launch. Generally, if something goes wrong on our end (for example, a service was not delivered as promised due to our fault), we would aim to make it right, potentially through a refund or credit. However, optional purchases or changes of mind may not be refundable, depending on the circumstances. We will abide by any refund obligations under consumer protection laws that apply.
No Fee Changes without Notice: We will not change the price of a paid service you’ve signed up for without notice. If we need to adjust pricing or introduce a new fee, we will inform affected users in advance (for instance, via email or a notice on the Site). You will have the opportunity to cancel a subscription or opt out of a service before new charges apply, if you do not agree to the changes.
Because the Site currently has no paid features, by accepting these Terms you aren’t committing to any financial obligation. This section serves as a placeholder to inform you of how things will be handled if paid services become available. When that time comes, we will ensure this section (and our Privacy Policy regarding financial data) is fully up-to-date and clear.
Intellectual Property Rights
Fight Directory’s Intellectual Property: The Fight Directory platform and all content and materials provided by us on the Site (excluding User Content, which is addressed separately above) are the intellectual property of Fight Directory and/or its licensors. This includes (but is not limited to) the website design, layout, look and feel, graphics, logos, button icons, software code (front-end and back-end), databases of listings (as compiled by us), and any content created or provided by us such as articles, blog posts, or informational text. All these elements are protected by copyright, trademark, trade secret, and other applicable intellectual property or proprietary rights laws.
The name “Fight Directory” and our logos or slogans are trademarks/service marks of Fight Directory (whether registered or unregistered). You may not use our name or logos in any manner likely to cause confusion or to disparage or dilute our brand, without our prior written consent. For example, you can’t use “Fight Directory” as part of the name of another website or service related to martial arts directories, and you shouldn’t use our logo in advertising your product without permission.
All website content that is not user-submitted (for instance, content we authored like help documentation or our own descriptions) is © 2025 Fight Directory or our content suppliers and is protected by copyright laws. Third-party content (like a martial arts news article excerpt or a sponsor’s material) if present, is the property of the respective owners and may be subject to their permission.
Limited License for Personal Use: Fight Directory grants you a limited, non-transferable, non-exclusive, revocable license to access and use the Site and our content for your personal, non-commercial use (or, in the case of a gym owner, for the legitimate promotion of your own business through our listing service) in accordance with these Terms. This means you are allowed to view content on Fight Directory, print pages for your personal reference, and use our tools as intended. However, this license does not allow you to do any of the following:
You may not copy, reproduce, or distribute any part of our Site or content for any commercial purpose without our express written permission. For example, you can’t mass-download our gym listings to create your own database, and you can’t display our content on another website (through scraping or framing) without authorization.
You may not modify or create derivative works of our content. (This excludes any content you own – you can of course reuse your own content that you contributed elsewhere as you see fit. But you can’t, say, take our entire directory text and turn it into a book or another site.)
You may not reverse-engineer, decompile, or attempt to extract the source code of any software or databases from our Site, except as allowed by law.
You may not use our trademarks or domain name in meta-tags, keywords, advertising, or any other manner without permission.
Any unauthorized use of Fight Directory’s intellectual property will terminate the permission or license granted by us under these Terms, and may constitute a violation of law.
User Content License to Others: When content is publicly posted by users (for instance, a review or a public question), it is out in the open for others to see. We do not, by default, grant other users any license to use your content beyond viewing it on our Site. However, by the nature of a public listing or review, you understand that other users may quote or reference your content (e.g., a user might share your review link with a friend or quote a line on social media). That’s inherent in posting publicly. If you as a user want to reuse someone else’s content that you found on Fight Directory (like using a gym’s photos or copying a user’s review for your own site), you should seek permission from the content owner unless such use is clearly allowed by law (for example, quoting a short excerpt for commentary might be fair use). Fight Directory itself isn’t giving you any additional license to other users’ content.
Copyright Complaints (DMCA): We respect intellectual property rights of others and expect users to do the same. If you believe that any content on Fight Directory infringes upon your copyright, you may notify us in accordance with the Digital Millennium Copyright Act (DMCA) or similar laws. A DMCA notice should include: (a) identification of the copyrighted work you believe is infringed; (b) identification of the material on our Site that you claim is infringing (with a URL or description sufficient for us to locate it); (c) your contact information; (d) a statement that you have a good faith belief that the use of the material is not authorized by the owner, its agent, or the law; (e) a statement under penalty of perjury that the information you provided is accurate and that you are authorized to act on behalf of the copyright owner; and (f) your physical or electronic signature. Send such notices to [email protected]. We will review and respond in accordance with applicable law. We may remove or disable content alleged to be infringing and reserve the right to terminate accounts of repeat infringers. (For a full DMCA process, if needed, we will provide additional instructions.)
Third-Party IP: Some content on Fight Directory may be subject to third-party licenses. For example, if we include a map from Google Maps, it’s subject to Google’s terms; or if a gym owner uploads a YouTube video, it’s subject to YouTube’s API terms. We will credit or indicate third-party content where appropriate. Your use of those third-party services or content may be governed by their own terms of use. Please respect all intellectual property, whether ours, yours, or others’.
Third-Party Links and Services
Throughout Fight Directory, you will encounter links or references to third-party websites, products, or services that are not owned or controlled by Fight Directory. Examples include:
A gym’s listing page might contain a link to the gym’s official website or Facebook page.
We might display social media icons that link out to our profiles or to gym’s social profiles.
Our blog or articles might reference external resources or have guest posts that link to other sites.
We might have affiliate links or sponsor references (clearly disclosed) that take you to a partner’s site for special offers or gear purchases.
In the future, we might host advertisements or sponsored content which, when clicked, take you to the advertiser’s site.
No Control or Endorsement: These third-party sites and services are not under our control, and Fight Directory is not responsible for the content, features, policies, or practices of any third-party websites or services. The inclusion of a link or any reference to a third-party on our Site does not imply our endorsement, sponsorship, or recommendation of that third party or its offerings. We provide these links and integrations for convenience and information only.
Separate Terms and Policies: When you click a third-party link or use a third-party service (for example, using an embedded Google Map or playing a YouTube video on a listing), you will be subject to that third party’s terms of use and privacy policy. We strongly encourage you to review the terms and policies of any third-party website or service you visit or use. They may have different rules about data collection, cookies, user accounts, etc., and we have no control over what they do.
For instance, if you go to a gym’s own website to fill out a membership form, any data you give that site is governed by their privacy practices, not Fight Directory’s. If you click a link to purchase gear from a partner’s store, any transaction is between you and that partner, and we have no involvement beyond perhaps a referral credit.
Interactions with Third Parties: Any dealings you have with third parties found on or through Fight Directory are solely between you and that third party. This includes interactions with gyms outside our platform: while we connect you to gyms, any transactions or relationships you form (like signing up for a class, paying gym fees, etc.) are between you and the gym. Fight Directory is not a party to any contracts or agreements you enter with a listed gym or any advertiser or partner. If you encounter issues with a third party (for example, a gym not honoring a promotion, or a product you bought via an affiliate link is defective), you must address those issues with the respective third party. No Liability: You agree that Fight Directory will not be liable for any loss or damage of any sort incurred as a result of your interactions with third parties or your use of third-party sites or services. This includes if a third-party site misuses your data, if a link is broken or leads you to harmful content, or if an external service causes any issues. Use third-party links at your own discretion and risk.
However, we welcome feedback on your experience with third-party links from our Site. If you find a particular link leads to inappropriate content (like a broken page, or something unrelated to combat sports, or malicious content), let us know so we can consider removing or updating it. Our aim is to keep our directory useful and safe.
No Endorsement & Interactions with Gyms
User–Gym Interactions: Fight Directory provides a platform for information and connection, but we are not directly involved in the actual interactions or transactions between users (students) and the gyms or businesses listed. If you decide to visit, join, or purchase services from a gym you found on Fight Directory, that decision and any resulting relationship (such as becoming a member, enrolling in classes, or buying merchandise) is strictly between you and the gym.
We do not supervise, direct, or control the activities or services provided by the gyms listed on our Site. We are not a gym, we do not train instructors, and we do not guarantee the quality of training or safety measures at any facility.
We do not certify or endorse any gym or instructor. Inclusion in our directory does not mean we have conducted a detailed vetting or background check. While we may verify basic details (like confirming a gym exists at a given address), we rely largely on gym owners to provide accurate information and on community feedback (like reviews) to reflect the quality of a gym. You should use your own judgment and, if necessary, research or visit a gym in person to decide if it meets your standards.
Any arrangements, payments, or contracts you enter with a gym (such as signing a liability waiver, committing to a membership term, or making payments for classes) are outside the scope of Fight Directory. We do not process those payments, and we have no control over refund policies or contract terms of individual gyms. Always read and understand a gym’s own terms (like membership agreements or class rules) before committing.
Assumption of Risk: Participating in martial arts, combat sports training, or any physical activity carries inherent risks of injury. Fight Directory is not responsible for any injuries, accidents, or health issues that may occur at a gym or training event listed on our Site. By using our Site to find a gym, you acknowledge that you assume these risks when you engage in training or activities at those gyms. We encourage everyone to train safely, follow instructors’ guidance, and consult with a physician before starting any new intense physical regimen, especially if you have any medical conditions.
Disputes Between Users and Gyms: If a conflict arises between a user and a gym (for example, a disagreement over a contract, dissatisfaction with training, or any misconduct), Fight Directory is not liable for that dispute. We are not an arbitrator or mediator. That said, if the dispute involves serious misconduct by a gym (like fraud or dangerous practices), please let us know – while we cannot resolve the issue for you, we may take it into account for the gym’s listing status. For instance, we might investigate and potentially remove a listing if we determine a gym is fraudulent or poses a severe risk to users.
Reviews and Endorsements by Others: Users of Fight Directory may post ratings and reviews for gyms. These reviews are opinions of those users, not of Fight Directory. We do not guarantee that every review is authentic or accurate, though we do our best to encourage honest feedback and remove blatantly fake or abusive reviews when identified. Do not rely solely on reviews; consider them as one factor among many in evaluating a gym.
We may also feature certain gyms or content (like a “Gym of the Month” or sponsored articles). Any such feature will be either based on our editorial decision or clearly labeled if it’s sponsored. Even if we feature a gym editorially, that’s not a formal endorsement of quality – it might simply mean they’re noteworthy in some way. Sponsored content will be identified, and in those cases, the content is essentially advertising paid for by the sponsor.
In summary: Fight Directory’s role is to facilitate discovery and connection. We want you to find great places to train, but we cannot guarantee or be responsible for what happens once you step into the ring (figuratively or literally). Please exercise due diligence and common sense when acting on information found through our platform.
Disclaimer of Warranties
Fight Directory strives to provide a valuable and reliable service, but we need to make clear the limits of our responsibilities. Your use of the Site and Service is at your own risk.
Provided “As Is” and “As Available”: Fight Directory (the website, services, and all content) is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. This means that we do not guarantee that the Site will always be up, always accurate, or meet your expectations. Specifically:

If you are a gym owner, we do not promise any particular level of exposure or business success from being listed. While we hope to increase your visibility, we can’t warrant that users will choose your gym or that you’ll gain a certain number of new students.
Implied Warranties: To the fullest extent permitted by applicable law, we disclaim all implied warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. For example, we’re not guaranteeing that Fight Directory is fit for your specific needs or that it won’t infringe on someone else’s rights (though we certainly hope and intend it doesn’t).
No Warranty on Third-Party Content: Any content accessed or downloaded from the Site, or any third-party links you follow, is done at your own discretion and risk. We make no warranty that any third-party content or websites will be safe or what you expect. You should use appropriate antivirus software and precautions.
Beta Features: If we launch new features in “beta” (test phase), those might be especially prone to bugs or inaccuracies. They are provided “as is” without any warranty until fully rolled out.

Limitation of Liability
Under no circumstances will Fight Directory (or its owners, operators, employees, affiliates, agents, or partners) be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of (or inability to use) the Service. This includes, but is not limited to:
Personal Injuries or Property Damage: Any injuries, accidents, or damages that occur at a gym you found through our Site, or any harm resulting from martial arts training or events listed on our Site. (For example, if you hurt your knee in a class at a listed gym, or if your car is stolen from a gym’s parking lot, Fight Directory is not liable for those incidents.)
Loss of Data or Loss of Business: If the Site is unavailable or experiencing errors and it causes you to lose content or business opportunities (for instance, a gym owner misses a message from a potential client due to a system downtime, or a user’s review doesn’t post properly), we are not liable for those losses. Similarly, if our Site or an error somehow causes data loss or corruption, our liability is limited as described here.
Financial Losses: Any loss of profits, revenue, business, or anticipated savings, or other economic losses. (For example, if a gym expected to get X new members from being listed but didn’t, we aren’t liable for the difference. Or if a user spends money based on info on our Site and it turns out unsatisfactory, we aren’t responsible for reimbursing that.)
Indirect or Consequential Damages: Any damage that isn’t a direct result of our actions (or inactions) but might be a secondary effect. (For instance, if incorrect info on a listing leads you to go to a wrong address and you miss an important event, or you incur travel costs, those are consequential damages outside our direct control.)
In legal terms, our total liability to you for any claims arising from these Terms or the Service will not exceed the amount (if any) you have paid to us in the last twelve (12) months for the service in question, or $50 USD, whichever is greater. Since currently you likely have paid us $0 (because the service is free), our liability would be capped at $50. This is the maximum aggregate liability for all claims, whether in contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
Exceptions: Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages (like incidental or consequential damages), so the above limitation may not apply to you in its entirety. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
Additionally, the above limitations do not apply to any liability that cannot be excluded or limited under applicable law. For example, certain laws may impose liability for willful misconduct, gross negligence, or specific statutory violations that cannot be disclaimed. We are not seeking to limit our liability beyond what the law allows.
Release: To the extent permitted by law, you release Fight Directory and its affiliates from all liability relating to your interactions with other users or gyms. If you have a dispute with a gym or another user, you release us from any claims, demands, and damages arising out of or in any way connected with that dispute. (This does not waive your rights against the other party; you can still pursue them if you have grounds, but that’s between you and them.)
We encourage you to be aware of these limitations and to take steps to mitigate your own risk when using online services: double-check information, use common sense in interactions, and maintain appropriate insurance or safeguards when engaging in physical activities.
Indemnification
You agree to indemnify, defend, and hold harmless Fight Directory and its owners, operators, affiliates, partners, and respective employees, contractors, agents, officers, and directors (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that arise out of or relate to:
Your Use of the Service: Any use or misuse of the Fight Directory Site by you or someone using your account. For example, if you violate the Acceptable Use Policy and it causes us harm or legal trouble, you agree to cover those damages or expenses.
Your User Content: Any content you post or actions you take on Fight Directory. If your content (e.g., a review or listing you posted) results in a legal claim from a third party (for instance, a gym owner claims your review is defamatory, or someone claims a photo you uploaded is infringing their copyright), you agree to indemnify us against any resulting liability or costs. We do not want to be sued for something you wrote or posted; if it happens, you would be responsible for defending and/or compensating.
Breach of Terms: Your violation of these Terms & Conditions or any applicable law or regulation. If you breach the contract between us (these Terms) and that causes us damage, you owe us for those damages.
Interactions and Transactions: Any claim arising from your interactions with any gym or business listed on Fight Directory, or other users. For example, if a gym sues Fight Directory because of something you did at their facility or a contract issue that somehow involves our listing, you’d indemnify us. Or if another user claims you misused their data or harassed them via our platform, and we are somehow included in the dispute, you’d indemnify us for involvement stemming from your actions.
This indemnification means you will cover any losses or costs (including legal fees) incurred by the Indemnified Parties in connection with any such claim, and you will provide a defense for the Indemnified Parties if requested (with counsel reasonably acceptable to us). We reserve the right to handle our legal defense as we see fit, even when you are indemnifying, in which case you agree to cooperate with us. We will reasonably notify you of any such claim, suit, or proceeding.
Example: If you post content that infringes someone’s copyright and Fight Directory gets sued for it, we can require you to step in, defend the case (or reimburse our defense), and pay any settlement or judgment. Similarly, if you misuse the site and cause damage that someone tries to hold us liable for, you pick up the tab, not us.
This section continues to apply even if you stop using Fight Directory or delete your account. Indemnification obligations can outlast the termination of the agreement, since a claim could arise later from your past actions.
We understand this section is legalistic. The bottom line: behave lawfully and responsibly, and you shouldn’t have to worry about indemnifying us. It’s mainly there to protect us from consequences of users’ wrongful actions which we cannot control.
Termination and Suspension
Voluntary Termination by You: You are free to stop using Fight Directory at any time. If you have a registered account and wish to delete it, you can contact us at [email protected] to request account deletion (or use any self-service deletion function we provide in the account settings, if available). Terminating your account will remove your profile and personal information from active view. However, content you have posted (such as reviews or forum posts) may remain on the Site in anonymized form (with your username and personal identifiers removed), unless you specifically request its removal and such removal is feasible and permitted. Gym owners who delete their accounts may have their gym listings unclaimed or removed, but basic business info might remain for directory completeness as noted in our Privacy Policy.
Termination or Suspension by Us: We reserve the right to suspend or terminate your access to Fight Directory (or certain features of the Service) at any time, with or without notice, for any conduct that we, in our sole discretion, believe is harmful to other users, to third parties, or to us, or for any violation of these Terms or other policies. Reasons we might suspend/terminate include, but are not limited to:
Violating the Acceptable Use rules or posting prohibited content.
Engaging in harassment, hate speech, or other harmful behavior.
Attempting unauthorized access or compromising security.
Posting fraudulent listings or reviews (e.g., shilling your own gym with fake reviews, or a competitor posting false info).
Extended inactivity of an account, especially if tied to a gym listing that might need re-verification (we might suspend until we can confirm info).
If required by law or at the request of law enforcement.
If we discontinue the Service or a portion of it (though if we shut down entirely, we’ll likely provide notice site-wide).
In cases of minor violations, we may opt to suspend (temporarily disable) your account and contact you with a warning and steps to correct the issue, rather than fully terminate. More severe or repeat violations will likely result in termination.
Effect of Termination: If your account is terminated (by you or us), the following will occur:
You must immediately stop using the Site and any content obtained through it. Any rights granted to you under these Terms will cease.
We may revoke your password and may bar you from creating a new account (for example, by blocking your email or IP).
We may remove or anonymize content you contributed, at our discretion. As mentioned, reviews or community content might persist but without your profile attached to it. For gym owners, if a listing is left without an owner due to termination, we may mark it as “unclaimed” or remove it if it was only added by you and not otherwise known.
If you had any ongoing premium services (in the future scenario of paid features), those would be ended. We may or may not provide a pro-rated refund depending on the circumstances of termination and whether the termination was due to your breach (in case of breach, likely not). Such details would be in the specific service terms.
Survival: Any provisions of these Terms that by their nature should survive termination (such as intellectual property rights, disclaimers, limitation of liability, indemnification, governing law, etc.) will survive. Termination does not relieve you of any obligations to pay fees (if applicable in future) that may have accrued, or liability for acts prior to termination.
No Liability for Termination: Fight Directory is not liable to you or any third party for any termination or suspension of your account or access. We understand it can be disruptive to lose access, but we have to be able to enforce rules and protect the service. If you believe your account was suspended or terminated in error, you may contact us to request reconsideration. We may, in our sole discretion, decide to reactivate an account if the issue is resolved or if we determine the circumstances warrant a second chance. However, we are not obligated to do so.
Even after your relationship with Fight Directory ends, remember that you may still be bound by the terms relating to content you provided, and your obligations to not misuse any part of the Site remain in effect.
Changes to These Terms
Fight Directory may revise or update these Terms & Conditions from time to time. As our service evolves, we might need to add new terms or make changes to existing ones (for example, to cover new features or to comply with legal requirements).
Notification of Changes: When we make material changes to these Terms, we will provide notice to users. Notification methods may include:

Governing Law and Dispute Resolution
Governing Law: These Terms & Conditions, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or with your use of the Service, shall be governed by and construed in accordance with the laws of the State of California, United States, and the applicable federal laws of the United States. We choose California law as a convenient neutral jurisdiction with well-developed legal principles for online services. (If Fight Directory is actually based in another jurisdiction, we reserve the right to update this section to that locale, but absent a specified change, assume California law governs.) This governing law applies regardless of your location, unless the laws in your country of residence require that its laws apply (such as certain consumer protection laws that might override an otherwise chosen law).
Jurisdiction and Venue: You agree that any legal action or proceeding arising out of or relating to these Terms or Fight Directory shall be brought exclusively in the state or federal courts located within the State of California (specifically, a competent court in the County of Los Angeles, California, unless we specify otherwise). You consent to the personal jurisdiction of these courts and waive any objection on grounds of venue or inconvenient forum (forum non conveniens). This means if you want to sue us, or we want to sue you, we’ll likely do it in California.
For users residing outside of the United States: We recognize that you may have rights under your local consumer laws. Nothing in this Governing Law section limits any rights you might have under mandatory provisions of local law (for example, EU consumers might be able to bring claims in their home country under certain conditions). However, to the extent permitted, you agree to the above choice of law and forum.
Injunctive Relief: Notwithstanding the above, we retain the right to bring legal action in any jurisdiction for the purpose of seeking injunctive relief (or an equivalent type of urgent legal remedy) in case of immediate harm or threat to our intellectual property or unauthorized access to our services, etc. This is a common clause to allow IP protection worldwide if needed.
Arbitration (Optional Clause): (Optional – depending on preference, we might include an arbitration clause to avoid courtroom litigation for most disputes. Since not explicitly requested, we will assume not to complicate with arbitration for now.)
Currently, we have not included a mandatory arbitration clause or class action waiver. If we choose to implement such a clause in the future, we will clearly inform users and allow opt-out as required. For now, disputes will be handled in court as per above, unless the parties mutually agree to alternative dispute resolution.
Time Limit to File Claims: You agree that any claim or cause of action arising out of your use of Fight Directory or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred. (This does not apply where prohibited by law – some jurisdictions do not allow shortening the statute of limitations; in those cases, the minimum legal time limit applies.)
Miscellaneous Provisions
Severability: If any provision of these Terms & Conditions is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. In other words, if one part of this contract is found invalid, the rest still applies. For example, if the governing law clause or a liability limitation is deemed unenforceable in your region, the rest of the agreement remains valid.
No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If we do not act immediately or fail to take action regarding a violation of these Terms by you or others, that does not mean we are giving up our rights (we may still take action later or in a similar situation). Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Fight Directory.
Entire Agreement: These Terms & Conditions (along with the Privacy Policy and any additional guidelines, rules, or terms we provide for specific services or features, which are incorporated by reference) constitute the entire agreement between you and Fight Directory regarding your use of the Service. They supersede any prior agreements, communications, and proposals (whether oral or written) between you and us regarding the Service. Both parties acknowledge that they have not entered into this agreement based on any representation or promise not explicitly stated in these Terms.
Assignment: You may not assign or transfer any of your rights or obligations under these Terms to any third party without our prior written consent. We may assign or transfer our rights and obligations to another party in the event of a merger, acquisition, sale of assets, or by operation of law, or otherwise at our discretion. These Terms will inure to the benefit of and bind the respective permitted assignees and successors of the parties.
Relationship of Parties: Nothing in these Terms shall be construed to create a partnership, joint venture, employer-employee, or agency relationship between you and Fight Directory. You and we are independent contractors/users, and neither party has any authority to bind the other or to incur any obligation on the other’s behalf.
Headings: Section headings in these Terms are for convenience only and have no legal or contractual effect. They are meant to make reading easier, but they do not limit or define the scope of any section.
Force Majeure: Fight Directory will not be liable for any delay or failure to perform its obligations hereunder if such delay or failure results from unforeseen events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes or shortages of transportation, facilities, fuel, energy, labor, or materials. We will try to keep the service running, but some events might prevent us from doing so.
Communications: We may provide notices or communications to you via email (to the address associated with your account), via posting on the Site, or via other reasonable means. You agree that all notices, disclosures, and communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
